The grant clause of a trademark license agreement typically grants the Licensee permission to use the trademark in connection with the marketing, advertising, distribution, and sale of the Licensee's goods and/or services. The Licensee typically compensates the Licensor for the right to use the trademark in some form, such as payment of a lump sum payment amount or on-going royalties paid at agreed periodic intervals, such as monthly or quarterly. The license agreement will state whether the license is exclusive or non-exclusive, and specify its duration and grounds for termination.
